Terms of Service

1. Acceptance

By creating an account or using MemoryLayer (“the Service”), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users including those on free and paid plans.

2. Description of Service

MemoryLayer provides a semantic memory API for AI agents, delivered as an npm software package that runs locally on your own machine. We provide the software, a licence key to activate it, and a web dashboard to manage your subscription and usage. Your data stays on your device — we validate your subscription licence and track API call counts only.

3. Account Responsibilities

• You are responsible for keeping your API key confidential
• You are responsible for all activity that occurs under your account
• You must provide accurate information when creating your account
• You must be at least 18 years old to use the Service
• One account per person or organization — do not share accounts

4. Acceptable Use

You may not use the Service to:

• Violate any applicable law or regulation
• Interfere with or disrupt the Service or its infrastructure
• Attempt to reverse engineer, decompile, or extract source code
• Resell or sublicense access to the Service without written permission
• Circumvent API rate limits or access controls
• Store unlawful, harmful, or infringing content

5. Plans, Billing & Payments

The Free plan is provided at no charge with a 1,000 calls/month limit. Paid plans (Pro at $19/mo with 10,000 calls/month, Pro+ at $49/mo with 50,000 calls/month) are billed monthly through Razorpay. Enterprise pricing is available on request.

Subscriptions renew automatically unless cancelled before the renewal date. You can cancel your subscription at any time from your billing dashboard — access continues until the end of the current period.

New subscribers may request a full refund within 7 days of their first payment. Outside this window, payments are non-refundable except where required by law or in cases of documented service failure. See our Refund Policy for full details.

6. API Limits & Fair Use

Monthly API call limits reset on the 1st of each calendar month (UTC). Unused calls do not roll over. We reserve the right to throttle or suspend accounts that show patterns of abuse, automated scraping, or activity that degrades service quality for other users.

7. Intellectual Property

The MemoryLayer software, brand, and documentation are owned by us and protected by applicable intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property. Data you store locally through the software remains yours.

8. Disclaimer of Warranties

The Service is provided “as is” without warranty of any kind. We do not guarantee that the Service will be uninterrupted, error-free, or meet your specific requirements. Use of the Service is at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law, MemoryLayer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits. Our total liability shall not exceed the amount you paid us in the 3 months preceding the claim.

10. Termination

We may suspend or terminate your account if you violate these terms. You may delete your account at any time from Settings. Upon termination, your API key is deactivated. Paid plan fees already charged are non-refundable.

11. Changes to Terms

We may update these terms. We will notify you by email for material changes. Continued use of the Service after the effective date constitutes acceptance of the updated terms.

12. Governing Law

These terms are governed by the laws of India. Any disputes shall be resolved in the courts of India. If you are a consumer in the EU, you retain any mandatory consumer protection rights under your local law.
